1. Definitions

In the context of this document, the following capitalized terms shall, unless the context otherwise requires, have the meanings specified below:

SITE: refers to the website owned by EDGE Overland, located at www.edge-overland.ro / www.edge-overland.com, through which the USER has access to information regarding the products offered / provided by EDGE Overland.

EDGE Overland: refers to the company EDGE Software Solutions S.R.L., registered with the Cluj Trade Register under number J12/1263/2011, and with fiscal identification number RO28475590, with registered office at 5 Mehedinți Street, Cluj-Napoca, Romania.

USER: refers to the person who accesses the SITE, for private or professional purposes, and who has accepted the TERMS AND CONDITIONS of this SITE, fulfilling all requirements of the registration process.

ABUSIVE USE: refers to the use of the SITE in a manner contrary to industry practices, regulations, and applicable laws, or in any other manner that may cause harm to EDGE Overland.

 

2. Content of the SITE

2.1. The information published on the SITE consists of general information about EDGE Overland, the products marketed by it, as well as other information considered by EDGE Overland to be of interest to USERS.

2.2. The information is generally made available to USERS free of charge. EDGE Overland reserves the right to implement certain services on the SITE that will be provided to USERS for a fee.

2.3. EDGE Overland is the owner of all intellectual property rights over the SITE, including its design and content, as well as all trademarks registered by EDGE Overland and published on the SITE.

2.4. The USER is obliged to respect all intellectual property rights of EDGE Overland, as provided by the applicable law.

 

3. Use of the SITE

3.1. The USER undertakes to access and use the SITE for purposes and by means that do not constitute ABUSIVE USE.

 

4. Limitation of Liability of EDGE Overland

4.1. Liability for the content of the SITE.
EDGE Overland is not and cannot be held responsible for damages caused by errors, inaccuracies, or non-updating of information published or maintained on the SITE, which are not due to its fault. USERS can find detailed information in the EDGE Overland network of stores.

4.2. In the event that prices or other details regarding products/promotions have been displayed incorrectly, including due to incorrect input into the database, we reserve the right to cancel the delivery of the respective product and to notify the customer by phone/email as soon as possible about the error, if the product has not yet been delivered.

4.3. The features of the products presented on the SITE are provided/made available by manufacturers, and EDGE Overland does not assume responsibility for the accuracy of this information.

4.4. The prices of the products on this SITE are for informational purposes and may undergo unannounced changes. The promotions presented on the SITE are valid for the period mentioned. In the absence of a specified time period, they are valid subject to available stock.

4.5. All products presented on this SITE are available subject to available physical stock. In case of stock depletion, the EDGE Overland representative will offer alternatives by presenting other products that are similar in appearance and technical specifications to the ordered product, the stock of which has been depleted.

4.6. Furthermore, the images presented on the SITE are for illustrative purposes only, and the delivered products may differ from the images in any way due to changes in characteristics or design without prior notice.

4.7. A pre-order product is a product that is to be released or is not available in stock and can be purchased in advance. The supplier reserves the right to change the availability date without prior notice. Pre-order products are added to the cart in the same way as any other product in the online store. By making a pre-order, you ensure that you will receive the product immediately upon availability.

4.8. Pre-order products will be delivered within an estimated period of 1-3 working days from availability, but no later than 15 days.

4.9. Pre-orders are paid for in the same way as a regular order, using the payment methods available on the SITE. Only paid pre-orders lead to stock reservation; unpaid pre-orders are automatically canceled by the system after 3 days, and you will need to place a new order when there is available stock or make another pre-order.

4.10. Once we have the products in stock, pre-orders will be fulfilled on a priority basis in the order of their arrival, after which the remaining products will be made available as stock on the SITE. You can cancel a pre-order at any time before processing, and if it has already been paid for, you can opt for a refund.

4.11. EDGE Overland reserves the right to complete and modify any information on the SITE.

4.12. Any issues caused by the products and/or services presented on the SITE will be resolved amicably within 15 working days from the date of written notification of the issues by the USER.

 

5. Losses/Additional Costs

EDGE Overland shall not be liable for any loss, costs, claims, expenses, or other liabilities arising directly from the breach of the Terms and Conditions.

5.1. EDGE Overland shall not be liable for damages resulting from the non-functioning of the SITE, as well as for those resulting from the inability to access certain links published on the SITE.

 

6. Delivery and Claims

6.1. We hereby inform you that any complaints regarding aesthetic deficiencies of the products will be considered and analyzed only if reported within the first 48 hours from the moment of product reception, through the Contact page.

6.2. Payment methods for completing an online order include: online payment with a bank card, bank transfer. In the case of online payment with a bank card, please note that payment registration does not guarantee order confirmation and delivery. If the order is not confirmed (the processing time for orders is 48 hours), the paid amount will be refunded to your account as soon as possible.

6.3. Order registration does not imply order confirmation. After the order is taken, it will be processed by our operators for confirmation and delivery details. The estimated delivery time is 5-10 business days from order confirmation, but not later than 20 days.

6.4. During Easter, winter holidays, Black Friday event, as well as throughout other company campaigns, order processing and delivery may take between 10-15 business days, but no more than 25 business days.

6.5. The Buyer shall have the right to refuse acceptance of delivered goods if they arrive in a damaged condition. In such cases, the Buyer and the delivering courier or transport company must jointly prepare and sign a report detailing the transport damages, and delivery shall be refused upon completion of this report. Failure to obtain a signed damage report from both the courier and the Buyer shall release EDGE Overland from any obligation to compensate the Buyer for the damages. For international orders, the Buyer may choose to accept the products from the delivery company even if there are signs of damage, but it is mandatory for the Buyer to file a damage claim report with the courier immediately upon noticing any damage to the packaging or goods. If the Buyer fails to establish and submit such a report, EDGE Overland may be unable to process refunds or replace the damaged product through an insurance claim. Compliance with the above procedures is essential for any compensation or replacement claims related to transport damages, and EDGE Overland's liability is contingent upon the proper documentation and reporting of any such damages as stipulated.

6.6. The Buyer is obliged to sign the transport document presented by the courier/transporter in order to take possession of the goods.

6.7. In case of order cancellation, neither party involved will claim/demand damages. If the order has already been dispatched, the Buyer will bear the shipping + return costs for that order. The amount of the transport fee will be communicated after cancellation, based on the transport document.

 

7. Product Returns

In accordance with Government Emergency Ordinance no. 34/2014, the buyer has the possibility to withdraw from the distance contract within 14 days from the day on which they physically acquired the product.

7.1. The Customer may exercise the option to return the product within the specified period, provided that the product is returned in its original packaging, without any signs of use or wear, and includes all original accessories that were supplied with the product. The product must not have any parts removed, altered, or modified in any manner. To initiate a return, the Customer is required to contact us through the "Contact" page on the SITE to obtain prior authorization.

7.2. Due to the large, heavy, and out-of-the-ordinary nature of the products, the Customer wishing to initiate a return shall be solely responsible for all transportation costs associated with such return.

7.3. All returns are subject to inspection upon receipt to verify compliance with these conditions. Failure to meet any of the above requirements may result in the refusal of the return or the imposition of additional fees. Unauthorized returns or returns sent without prior notification may not be accepted and could be returned to the Customer at their expense.

7.4. The refund amount will be paid exclusively via bank transfer to a bank account provided by the customer for orders paid by bank transfer, within a maximum period of 30 days from the acceptance of the return. For orders paid with a card, the amount will be returned to the same card used for the transaction, within 3-30 days from the acceptance of the return.

7.5. During the return process, the Customer may utilize any shipping or logistics service of their choosing, provided that the products are delivered to the warehouse address specified by us at the time the return claim is initiated. It is the Customer's responsibility to ensure that the products are securely packaged and shipped to the correct address. The Customer must obtain confirmation of the designated warehouse address from us prior to dispatching the return shipment. Failure to deliver the products to the specified address may result in delays or refusal of the return. The Customer assumes all risks associated with the return shipment until the products are received and accepted by us at the designated warehouse.

 

8. Product Warranty

8.1. When you purchase an EDGE Overland product, we want you to have an excellent experience with respect to its acquisition, installation, and use. We provide a limited warranty of 2 years for the original purchaser against manufacturing defects covering parts and materials that fail under normal use conditions. For a period of 2 years from the date of purchase, EDGE Overland will replace (at our discretion) defective parts at no cost to the customer. EDGE Overland will provide the replacement parts, but the customer will be responsible for installation.

8.2. This warranty applies only to customers who have purchased directly from the SITE or from an authorized dealer and does not cover second-hand purchases. If you have purchased from an authorized dealer, please present proof of purchase along with any warranty claim.

9. Accessing the SITE

This implies the acceptance by USERS that their personal data be stored and processed by the company EDGE Overland. The information you provide us is treated with utmost confidentiality and exclusively for the purposes for which it was collected.

9.1. The purposes of processing this data are: creating a USER account for purchasing products, delivering ordered products, subscribing to our offers (USER's consent), sending commercial communications (USER's consent), sending offers for complementary products or accessories of purchased products (based on USER's consent and on the legitimate interest of EDGE Overland or group companies), informing subscribed USERS about promotions of the EDGE Overland store network or any other promotions or activities carried out by EDGE Overland through any means of communication (mail, email, phone, SMS, etc.), creating a database for generating statistical reports, etc.

9.2. At the time of contact, the USER will be informed about the purpose of the action for which they were contacted and their consent will be requested if the respective action involves the processing of personal data and their agreement is necessary.

9.3. EDGE Overland is the sole holder of the information collected from this SITE. EDGE Overland undertakes not to disclose personal data to third parties through sale, partial disclosure, or renting.

9.4. EDGE Overland may disclose your personal information to group companies or authorized third parties with whom the company has entered into various contracts, all of which are validated by the Legal Department and followed by confidentiality agreements (Non-Disclosure Agreement) and/or personal data processing agreements (DPA).

9.5. In the event that you choose the option of online payment with payment by bank card, EDGE Overland will transmit to the payment processor only data related to your order, without accessing and processing other data related to the bank card.

9.6. Any processing of your personal data will be carried out in accordance with the Personal Data Protection Policy.

 

10. Data Collection

This is done through various specific methods and tools, such as: professional traffic tracking software, the newsletter management application, saving in databases of various contact forms available on the SITE, completed by USERS, online surveys, etc.

10.1. We use IP addresses to analyze browsing habits, administer the SITE, track USER interests, and gather demographic information for internal purposes. All of these are aimed at increasing the ease of use of the SITE and publishing information that is as relevant as possible to USER interests.

 

11. Restricted Access and (Un)subscription

By accessing the SITE, creating a USER account, and placing orders, the customer expressly accepts the Terms and Conditions of the SITE, as well as the procedures for conducting an online order as described on the SITE.

11.1. There are areas on the SITE that require registration (see Registration) or subscription (see Newsletter).

11.2. In the case of the newsletter, each edition/alert also contains an unsubscribe option; once this option is accessed, the unsubscription takes effect immediately, without further confirmation from the USERS. Depending on the type of registration (SITE account creation, newsletter subscription, online credit form completion), USERS may be required to provide data such as: name, first name, email address, postal address, company, etc. Some of the requested data are mandatory in order to provide the goods or services the customer is interested in.

11.3. Personal data will be used for the purpose of contract execution and processing of your orders. Subsequently, the data will be retained in accordance with the retention periods provided by tax and commercial legislation, and as long as necessary to protect the rights of EDGE Overland.

11.4. For the proper execution of the sales contract, after the customer's consent has been given, EDGE Overland may contact the customer by telephone or email, if the customer provides identification and contact details while accessing the SITE. At the time of order placement, the customer agrees to the subsequent mode of communication (telephone or electronic) and the operating mode of the seller.

11.5. In case you have entered contact details but have not validated the USER account, you may be contacted by a representative of EDGE Overland to complete this procedure by erasing the data if you no longer wish to become a USER or by providing assistance and validating the account. This action is based on our legitimate interest in cleaning and updating the database.

11.6. If you have added products to the Shopping Cart but have not completed the order, you may be contacted by an EDGE Overland representative via email or telephone, who will notify you that you have left items in the cart. This single action is justified by the company's interest in clarifying the situation by either concluding or canceling the sales contract. After this action, the customer will only be contacted if they have given consent to receive other offers/commercial communications.

11.7. Within a reasonable period after the purchase of a good or service (usually after 14 days during which the customer can return the product by withdrawing from the sales contract), the buyer may be contacted through the same communication channels agreed upon at the time of order placement, in order to provide feedback/review related to the purchased good or service. This way, the customer actively contributes to the creation of new services, detailing the features of the goods, and informing other potential buyers on the SITE. Your opinions are carefully analyzed by EDGE Overland employees, who use them as a guide in selecting products and the range of products offered to customers.

 

12. Cookies

The SITE uses cookies, which are data stored on the computer, mobile terminal, or other device of the USER and contain information about it. The use of cookies is an advantage for the benefit of visitors, allowing the retention of navigation options on the SITE, such as the language in which the SITE is displayed, the types of filters applied to display certain pages, the retention of the USERNAME and password for quick access to the content of the SITE. Not accepting a cookie does not mean that access and the possibility of reading the content of the SITE will be denied to the USER. Through cookies, SITE owners can monitor and segment the interests of USERS in relation to certain areas or applications of the SITE, which subsequently allows for the improvement of the browsing experience, the introduction of relevant content for USERS, etc.

12.1. Cookies that are not technically mandatory to be stored on the USER's terminal will be used only if the USER expressly and unequivocally consents to them by checking the presented categories. The USER can withdraw consent at any time by modifying the settings of the browser used, in accordance with our Cookies Policy.

12.2. The legal basis for this action is represented by the legitimate interest in consistently providing improved services to USERS of the EDGE Overland SITE.

 

13. Notifications and Actions Regarding USER Information

Upon written request, dated and signed by the USERS, sent to the address of EDGE Overland, it undertakes:
a) to confirm to the requester whether it processes personal data or not; this is done free of charge, once a year;
b) to rectify, update, block, erase, or transform into anonymous data, free of charge, data whose processing is not in accordance with the provisions regarding the protection of individuals with regard to the processing of personal data and the free movement of such data;
c) to transmit to the USER the personal data concerning him/her that he/she has provided to EDGE Overland in a structured, commonly used, and machine-readable format, for the purpose of transmitting them to another operator;
d) to cease the processing of the personal data of the USER, if requested.

 

14. Security

This SITE adopts all necessary security measures to protect the personal data of our USERS. When you provide personal data on our SITE, the information will be protected both offline and online.

14.1. All personal data will be processed through secure pages that use the SSL encryption system, marked with a padlock symbol, the positioning of which varies depending on the type of browser used (for example, at the bottom of the window if you use the Microsoft Internet Explorer browser, or at the top of the window if you use the Google Chrome browser).

14.2. By agreeing to the terms and conditions of use of the SITE as expressed in this document, USERS fully assume any potential risks.

 

15. Jurisdiction. Applicable Law

The contractual relations between the parties shall be governed by Romanian law. Disputes that cannot be resolved amicably shall be subject to the jurisdiction of competent courts.
