Affiliate Terms & Conditions

1. Introduction & Agreement

This Agreement contains the complete terms and conditions that apply to your participation in the EDGE Overland Affiliate Loyalty Program. "We", "us", or "our" refers to EDGE Overland. "You" or "your" refers to the Affiliate. By generating a Referral Code, you agree to these terms in full.

2. Enrollment and Eligibility

2.1. To enroll, you must provide your legal name (or company name), a valid email address, and complete our identity verification process when required. 

2.2. Independence: You are an independent contractor. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship. 

2.3. Verification: We reserve the right to request proof of identity or business registration at any time. Failure to provide this will result in immediate suspension of the account.

3. Tracking, Cookies & Attribution

3.1. The Tracking Cookie: A cookie is set in the visitor’s browser for 30 days. Attribution is based on “Last Click” - if a customer clicks another affiliate’s link after yours, the other affiliate receives the points. 

3.2. Browser Limitations: We are not responsible for points lost due to users clearing cookies, using "Incognito" mode, or declining "Marketing Cookies" via the GDPR consent banner. 

3.3. Session Attribution: If cookies are blocked, tracking is limited to the current browser session.

3.4. Single-Conversion Limit: Referral tracking is valid only for the first purchase made by a referred customer during a qualified 30-day cookie window or session. Subsequent purchases made by the same customer will not generate loyalty points for the Affiliate unless the customer explicitly clicks the Affiliate’s referral link again prior to the subsequent transaction.

3.5. No Lifetime Commissions: This program does not offer "Lifetime Attribution." The relationship between an Affiliate and a referred customer is terminated upon the completion of the first transaction or the expiration of the tracking cookie, whichever occurs first.

4. Calculation of Points (The "Net Value" Rule)

4.1. Commission Rate: 2% of the Net Product Value. 

4.2. Exclusions: Points are NOT calculated on:

• VAT or other sales taxes.
• Shipping, handling, or insurance fees.
• Portions of an order paid for via gift cards or previous loyalty points.
• Service/Installation fees. 4.3. Rounding: Values are rounded down to the nearest whole EUR. (e.g., €57.99 becomes 57 points).

4.4. Confirmation Window: Points are confirmed 30 days after shipping, provided the order has not been returned or refunded. If an order is partially refunded, the points will be adjusted accordingly.

5. Redemption and Payouts

5.1. 1 Point = 1 EUR. Points are not "money" until the moment of redemption. 

5.2. Threshold: Cash withdrawals require a minimum of 100 Confirmed Points. 

5.3. Expiration: Points expire one (1) year after confirmation. It is your responsibility to track and use your points. 

5.4. Self-Purchases: You may not use your own referral code for your own purchases. Any points earned this way will be voided, and continued attempts will result in a permanent ban.

6. Marketing and Brand Guidelines

6.1. Prohibited Tactics:

• Search Engine Marketing (SEM): You may not bid on keywords containing "EDGE Overland" or any variations/misspellings in Google Ads, Bing Ads, etc.
• Domain Names: You may not register domain names, social media handles, or app names that include the "EDGE Overland" trademark.
• Spam: You must comply with the EU ePrivacy Directive. Mass unsolicited emailing is strictly prohibited. 

6.2. Misleading Claims: You must not make false or exaggerated claims about our products (e.g., promising 100% waterproofness beyond specifications). 

6.3. Disclosure (EU & FTC Compliance): You MUST clearly disclose your relationship with us. Any post containing an affiliate link must include a visible tag like #ad or a statement: "As an affiliate, I earn a commission from qualifying purchases."

6.4. The Affiliate shall NOT: 

• Use any automated system (bots, scrapers) to generate clicks or points.
• Attempt to reverse engineer, decompile, or modify the referral tracking software.,
• Create 'parasitic' sites that mimic the EDGE Overland checkout process to intercept customer data.
• Engage in any activity or make any public statements that disparage, defame, or otherwise damage the reputation and brand image of EDGE Overland. Violation of this clause results in immediate termination and forfeiture of all accrued points.
• List their referral links or codes on 'Coupon Aggregator' websites or 'Deal Forums' (e.g., HotUKDeals, Pepper.pl). Any traffic originating from such sites is ineligible for points.

7. Tax, KYC & Legal Compliance

7.1. Identity Verification: In compliance with EU AML laws, a Stripe Identity (or equivalent) check is mandatory before the first cash payout of €100 or more. 

7.2. Tax Liability: You are solely responsible for all taxes, social security, or insurance due in your country of residence. 

7.3. Romanian Specifics: 

• Individuals: We will withhold 10% income tax for Romanian residents as required by the Fiscal Code.
• Companies: Romanian companies MUST issue an invoice via RO e-Factura. EU companies must provide a valid VAT number and a PDF invoice.

7.4. Payout Method & Bank Details: All cash withdrawals are processed exclusively via SEPA Bank Transfer (or local RON transfer for Romanian residents). To receive a payout, the Affiliate must provide a valid IBAN and BIC/SWIFT code in their account profile. The name on the bank account must match the verified name of the Affiliate.

7.5. Payout Timeline: Once a withdrawal request is submitted and the required documentation (KYC/Invoice) is approved, we will process the payment within ten (10) business days.

7.6. VAT and the "Gross Commission" Rule:

• Individual Affiliates: The 100 EUR threshold is the gross amount. For Romanian residents, any applicable withholding taxes (currently 10%) will be deducted from this amount before the transfer.
• Company Affiliates (VAT Registered): The withdrawal value (e.g., 100 EUR) is considered inclusive of VAT.
  • Scenario A (Reverse Charge): If the company is located in the EU (outside Romania) and provides a valid VIES VAT number, they must issue a VAT-free invoice (stating "Reverse Charge") for exactly 100 EUR.
  • Scenario B (VAT Included): If the company is required by law to charge VAT (e.g., a Romanian company, or a company without a valid EU VAT ID), the total value of the invoice must be 100 EUR (VAT Included). The company will calculate the net value and the VAT within that 100 EUR limit. We will not pay any amount exceeding the requested point-value (1 point = 1 EUR total cost to EDGE Overland).
  • Documentation: Failure to provide an invoice matching these requirements will result in the rejection of the payout request.

8. Limitation of Liability & Indemnification

8.1. We will not be liable for indirect, special, or consequential damages (loss of revenue, profits) arising in connection with this Program. 

8.2. You agree to indemnify and hold EDGE Overland harmless from any claims, damages, or expenses (including legal fees) arising from your breach of this Agreement or your marketing activities.

9. Modification and Termination

9.1. Modification: We may modify any of these terms at any time. Notice will be given via email or a notification in the Affiliate Dashboard. Continued participation after 30 days constitutes acceptance. 

9.2. Termination: Either party may terminate this Agreement at any time, with or without cause. 

9.3. Forfeiture: If this Agreement is terminated due to fraud or violation of Brand Guidelines (Section 6), all accrued points (pending and confirmed) are immediately forfeited.

10. Governing Law

This Agreement is governed by the laws of Romania. Any disputes shall be resolved in the courts of the jurisdiction where EDGE Overland is headquartered.
